StitchedHealth Terms of Service
Effective Date: April 29, 2025
1. Acceptance of These Terms
By accessing or using the StitchedHealth.ai website, mobile applications, discussion forums, courses, videos, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
2. Who May Use the Service
Clinicians & Healthcare Professionals
You represent that you are licensed or otherwise qualified to practice in your jurisdiction and will use the Service solely for professional development and educational purposes. If you access the Service from outside the United States, you are responsible for complying with applicable local laws, including professional licensing regulations.
Students & Other Users
Where allowed, students and non-clinician users may access designated content for educational use only.
Age Requirement
Minimum Age: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account.
3. Educational Purpose Only — No Medical Advice
Important Medical Disclaimer
The Service provides continuing medical education (CME) content, case studies, and patient and peer perspectives intended solely for educational purposes. Content does not create a physician-patient relationship.
Healthcare Professionals: You remain solely responsible for clinical decisions and must exercise independent clinical judgment.
Patients & Laypersons: If you are a patient or layperson, consult a qualified clinician for medical advice.
4. Accreditation & CME Credit
Where indicated, activities are jointly provided with accredited third-party providers and meet ACCME or other accreditor standards. CME credits are not claimed directly through the Service; instead, third-party providers issue credit certificates subject to each activity's specific instructions, completion criteria, and expiration dates.
Prohibited Activities
You agree not to engage in fraudulent or deceptive practices to obtain CME credits, including:
- •Falsifying completion
- •Sharing assessment materials
Violations may result in account termination and reporting to relevant accreditors.
StitchedHealth, Inc. is not liable for accreditor decisions, third-party provider actions, or your failure to obtain credit.
5. Registration, Security & NPI Verification
You agree to:
- •Provide accurate information (including National Provider Identifier "NPI" or equivalent where requested)
- •Maintain the security of your login credentials
- •Promptly update account details
We may verify your professional credentials, including NPI or licensure, and reserve the right to suspend or terminate your account if information is inaccurate, incomplete, or unverifiable. You are responsible for all activity occurring under your account.
6. Privacy
Our collection and use of personal data is governed by the StitchedHealth, Inc Privacy Policy, which forms part of these Terms. By using the Service, you consent to the processing of your data in the United States and other locations we operate. If you are located in the European Union or other jurisdictions with specific data protection laws, our Privacy Policy details compliance with applicable regulations (e.g., GDPR).
7. Intellectual Property
Our Content
All content, software, and trademarks on the Service are owned by StitchedHealth, Inc. or its licensors and are protected under U.S. and international intellectual property laws.
License to You
We grant you a limited, non-exclusive, non-transferable license to access the Service for personal, non-commercial, professional education.
Your Contributions
By posting or uploading content (e.g., comments, survey answers), you grant StitchedHealth, Inc. a worldwide, royalty-free, perpetual license to use, reproduce, adapt, and display that content to operate and improve the Service. You represent that you have all rights necessary to grant this license.
We reserve the right to review, edit, or remove any user-generated content at our sole discretion, including content that violates these Terms or is deemed inaccurate or inappropriate.
You may report problematic content to support@stitchedhealth.ai. We are not obligated to monitor or verify all user contributions.
8. Prohibited Conduct
You agree not to:
- •Violate HIPAA: Provide patient-identifiable information (HIPAA-protected data) on the platform or otherwise violate HIPAA or other data protection laws. You are solely responsible for ensuring no protected health information (PHI) is uploaded or shared via the Service.
- •Provide Medical Care: Use the Service to diagnose or treat actual patients in real time.
- •Unauthorized Distribution: Copy, scrape, sell, or distribute any part of the Service without written permission.
- •Inappropriate Content: Post unlawful, defamatory, misleading, or inaccurate content.
- •Security Violations: Reverse-engineer or interfere with security-related features.
- •Automated Access: Use bots or automated methods to access the Service.
9. Third-Party Content & Links
We may link to third-party sites or display materials from independent faculty or sponsors. StitchedHealth, Inc. does not endorse and is not responsible for third-party content, accuracy, or privacy practices.
10. Availability & Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability. We are not liable for any failure to perform our obligations due to events beyond our reasonable control, including natural disasters, cyberattacks, or governmental actions ("Force Majeure").
Material changes to these Terms will be posted with a new effective date; continued use after changes constitutes acceptance.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STITCHEDHEALTH, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR THAT ACCESS WILL BE UNINTERRUPTED.
We strive to make the Service accessible in accordance with applicable laws, but we do not warrant full compliance with accessibility standards such as the ADA or WCAG.
12. Limitation of Liability
IN NO EVENT WILL STITCHEDHEALTH, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY SHALL NOT EXCEED USD $100.
13. Indemnification
You agree to defend, indemnify, and hold harmless StitchedHealth, Inc. and its affiliates from any claims, damages, or expenses (including attorneys' fees) arising out of your:
- •Violation of these Terms
- •Misuse of the Service
- •Infringement of any intellectual-property or privacy right
- •Violation of HIPAA or other data protection laws
14. Termination
We may suspend or terminate your account at our sole discretion for any violation of these Terms or applicable law. Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability) will remain in force.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.
Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Mateo County, California, except for claims related to intellectual property or injunctive relief.
You agree to waive any right to participate in a class action or consolidated proceeding.
If arbitration is not enforceable, disputes shall be resolved exclusively in the state or federal courts located in San Mateo County, California, and you consent to personal jurisdiction there.
16. Export & Sanctions Compliance
You may not use or export the Service in violation of U.S. export laws or other applicable regulations, including embargoes and sanctions. You are responsible for complying with local laws if accessing the Service from outside the United States.
17. Assignment
We may assign these Terms or delegate our obligations to a successor entity without your consent. You may not assign or transfer your account or rights under these Terms without our prior written approval.
18. Entire Agreement & Severability
These Terms, together with the Privacy Policy and any activity-specific rules (available within each CME activity), constitute the entire agreement between you and StitchedHealth, Inc. If any provision is held invalid, the remaining provisions remain in full force.
